Signing a Bulgarian property transaction after fraud or threats

Deliberate deception or threats can support avoidance, but a bad bargain alone is insufficient.

The essentials

  • A specific defect in consent needs proof.
  • Third-party deception involves an additional requirement.
  • Limitation and later confirmation must be considered.

A property transaction actually signed in Bulgaria may be voidable if consent was obtained through fraud or threats under the Obligations and Contracts Act. Notarial form does not exclude that dispute. Regret about the price or an unpleasant conversation, however, is not automatically a statutory ground.

Identify the specific influence

Fraud requires deliberate deception leading to the contract. If a third person deceived you, the other contracting party's knowledge also matters. Threats require the relevant well-founded fear; their content, circumstances and connection with signing are important.

This differs from a forged signature, where the person never made the declaration. Keep the facts distinct because the grounds, evidence and remedies differ.

Do not await a criminal investigation

Article 32 provides a three-year limitation period for avoidance. For fraud it runs from discovery; for threats, from their cessation, subject to the actual dates and other limitation rules. Reporting to the police does not replace the civil claim.

Preserve original messages, payment records and potential witness evidence. Be careful with later voluntary performance while aware of the defect: the law recognises confirmation of a voidable contract. Before settling, check whether the proposed terms alter the protection you intend to seek.

Practical guidance

What to do, step by step

01 / 03

Record a dated account

Separate facts from the label “fraud”.

  • Identify who said or did what.
  • Record discovery or the end of the pressure.
02 / 03

Preserve originals

Do not edit received materials.

  • Keep messages, agreements and payment trails.
  • Identify witnesses to specific events.
03 / 03

Coordinate the response

Civil and criminal proceedings serve different purposes.

  • Check claim timing and interim relief.
  • Review any settlement or further performance beforehand.
