Selling an inheritance rather than an individual Bulgarian property

A sale of an inheritance has a different subject and form from a flat sale. Check the estate, debts and registration.

The essentials

  • The subject is the inherited estate, not merely a flat.
  • Notarised signatures and registration serve different purposes.
  • A debt allocation does not automatically release the seller against creditors.

A sale of an inheritance under Article 212 of Bulgaria's Obligations and Contracts Act concerns the inherited estate as a whole, without selling each asset as an individually specified item. It is not simply another label for selling a particular flat, and it does not turn the buyer into a statutory heir.

Understand the subject before signing

The seller warrants their status as heir. That is narrower than an expectation of guarantees concerning every asset. Check when the succession opened, acceptance, the seller's share, known property and liabilities, and earlier disposals. An agreement concerning a future, unopened succession is void.

The contract requires writing with notarised signatures. If the inheritance includes real estate, registration is necessary for effectiveness against third parties. This form does not remove special restrictions involving children's assets or acceptance under inventory.

Settle the accounting expressly

Article 213 addresses proceeds already collected by the seller from claims or disposals, and reimbursement of inherited debts already paid. Document the available information and payments. An internal agreement allocating debts does not automatically release the seller against creditors: substituting a debtor has separate requirements.

If the actual aim is to acquire one identified flat, compare this structure with a direct property transaction first. The different subject may transfer more uncertainty than either party expects.
