The essentials

  • Replacement requires properly ending the existing contract.
  • Defects and changed instructions are different.
  • Preserve the condition before new work starts.

Replacing a contractor starts with more than a new quotation. Establish what was ordered, what was completed and the legal basis for ending the existing contract. Otherwise the dispute may involve two payment demands and unproven defects.

Delay, clear future non-performance or defective work

Article 262 of the Obligations and Contracts Act permits termination where it becomes clear that the contractor will not finish on time or perform as agreed or properly. Other cases require examination of Article 87, any necessary additional reasonable period and the warning’s form. A brief absence from the site does not necessarily prove abandonment.

For defects, Article 265 provides different remedies, including correction, necessary correction costs or price reduction; termination has stricter conditions where the work is unfit for its purpose. Distinguish correcting defects from changing your preferences.

Preserve the condition before further work

Record completed work, materials, payments and unfinished items. Invite the contractor to a joint inspection; in a dispute, technical evidence and court preservation of evidence may be more useful than undated photographs without measurements.

Do not sign a general acceptance without reservations where visible problems exist. Article 264 links acceptance to inspection and objections. Once a replacement contractor covers or removes the original work, proof becomes harder. The final account should distinguish useful completed work, advances, defects and provable additional expenditure.
