Property deposits in Bulgaria: what to clarify before paying
Before a deposit or preliminary property purchase agreement, clarify who receives the money, the payment terms and what happens if the deal falls through.
Read article →For an overseas buyer, the critical checks should happen before a reservation payment or preliminary contract: title, registered burdens, the exact asset, building status and payment terms.
Finding a property in Bulgaria is often the easy part. The more difficult moment comes when your offer has been accepted, the property is said to need “reserving”, and you are asked to send money or sign a preliminary agreement.
For an overseas buyer who does not know the language or local process, the central practical problem is an information gap: you may be asked to make a financial or contractual commitment before you can independently tell whether the seller, the property and the documents are what you have been told they are.
The useful rule is therefore simple: move the important checks to before the first material commitment that is difficult to reverse.
The appropriate acquisition structure can depend on nationality and on the type of asset involved. An apartment, a building, shares in common parts, a garden, agricultural land and another type of land should not automatically be treated as the same legal question.
The Bulgarian Constitution contains a specific regime concerning ownership of land by foreigners and foreign legal entities. The result in a particular case depends on the applicable rules, including nationality and the nature of the right being acquired. For that reason, generic advice such as “just set up a Bulgarian company” is not a substitute for checking the structure of the actual transaction.
A listing, viewing or conversation with an agent does not prove title. Before money is committed, the seller's basis of ownership should be checked together with their ability to transfer the whole asset you expect to buy.
Co-ownership, inheritance, previous transfers, powers of attorney, family-property issues or inconsistencies between documents may all be relevant. Depending on the case, due diligence may need to look beyond one current title document and examine the chain of acts on which the seller relies.
The Bulgarian Property Register contains registrable acts and circumstances relating to real estate. A mortgage is the obvious example, but attachments, other registered rights or restrictions, and the order of registrations can also matter in an individual transaction.
Timing matters. Discovering an issue before a non-refundable payment is a very different position from discovering it after a contract has been signed and funds transferred.
Bulgarian cadastral records identify land parcels, buildings and individual units. For an apartment, for example, the title document and cadastral scheme should be compared with the asset being offered in practice.
If a listing says “apartment with cellar, parking space and garden”, the legal question is not simply whether those things physically exist. You need to know what legal rights over each of them will actually pass to you.
Where relevant to the particular asset, legal due diligence should also address the applicable construction and administrative status: construction documentation, the status of the building, commissioning or use-permit documentation according to the category of construction, and material discrepancies between the documents and the situation on site.
This is different from a technical survey. Damp, structural defects, electrical or plumbing issues and construction quality may require an architect, engineer or other technical professional.
A preliminary contract for a future Bulgarian real-estate transaction is not merely an administrative reservation form. Bulgarian law requires the preliminary contract to be in writing where the final transaction requires notarial form and requires it to cover the essential terms of the final contract.
The same caution applies to money described as a “deposit”, “reservation fee”, Bulgarian kaparo, or another label. Bulgarian law expressly regulates earnest money, but the consequences of a particular payment depend on the actual agreement rather than the document title alone.
Before paying, establish who receives the money, why it is being paid, when it is refundable or forfeited, what happens if due diligence identifies a problem, what happens if financing is delayed or refused, what documents the seller must produce, and when each party must perform.
The notary has an important statutory role. Bulgarian law provides for checks in the notarial process, and the notary is independent, subject to the law and may not take sides in performing official functions. The notary also has duties to protect the rights and interests of the parties and explain the legal consequences of the act.
That does not make the notary the buyer's personal lawyer. The notarial completion is usually the final stage, while reservation payments, preliminary contracts, payment structures and much of the negotiation happen earlier.
A lawyer is not simply another representative around the transaction. The Bulgarian Bar Act requires lawyers to practise conscientiously and to protect the rights and lawful interests of their clients in the best lawful manner.
That duty has real legal consequences. Lawyers must carry insurance for loss that can arise from culpable non-performance of their professional obligations, and the Act provides liability to the client for damage caused by such culpable non-performance. Legal due diligence is therefore commissioned professional work with statutory duties and responsibility, not simply informal guidance.
Legal due diligence is most useful before the irreversible decisions, not five minutes before the notarial deed is signed.
A good agent can be extremely useful for finding properties, arranging viewings, communicating with the seller and handling commercial negotiations. That does not automatically mean the agent is carrying out independent legal due diligence for the buyer or assuming a lawyer's professional duties.
This is not an argument against using an agent. It is an argument for knowing which participant is responsible for which part of the transaction and whose interests they are engaged to protect.
A remote purchase increases your reliance on documents, translations, powers of attorney and information supplied by other people. Do not sign a document you do not understand merely because you have received a verbal summary of what it supposedly says.
If you appoint someone under a power of attorney, understand the precise powers granted. If you transfer funds, know the recipient, the contractual basis for payment and the circumstances in which the money can be returned.
A UK-based buyer finds a house in Bulgaria online. After a video viewing, the seller accepts the offer and asks for a deposit to remove the property from the market.
One approach is to pay first and check the documents later. Another is to establish, before payment, who owns the house and land, which sellers must participate, what is registered against the property, whether the cadastral identification is consistent, what construction-status documents are relevant and when the deposit is refundable if a material problem is found.
The same house may ultimately be purchased either way. The difference is whether the risk becomes visible before or after your money has left your control.
This is the stage at which legal due diligence can be most useful: before a deposit or preliminary contract narrows your options. Kalchev Law Firm provides title and registration checks, review of the relevant legal and construction status, contract review or drafting, and assistance through notarial completion.
If you already have a listing and documents for a particular property, you can send them for an initial review before taking the next financial step.
