A new apartment building has no manager: calling the first meeting

Who can call the first owners’ meeting in a new Bulgarian condominium, and how to prepare notice, agenda and appointment of a manager.

The essentials

  • The law permits initiative without the developer.
  • Notice and agenda require advance preparation.
  • Quorum and voting majority are separate checks.

The first owners’ meeting does not depend solely on the developer taking the initiative. Article 12(6) of the Condominium Management Act provides for owners holding at least 20% of the common-part shares to call it within six months after the condominium arises. If it is not called within that period, any owner or holder of a right of use may call it.

Establish who participates

Collect ownership and common-share information. Occupant, owner and holder of a right of use are not interchangeable roles for every decision. For buildings with up to three independent units belonging to more than one owner, Article 3 refers management to particular Ownership Act provisions; do not automatically apply the ordinary large-building regime.

Notice must allow preparation

Under the general rule, notice is posted in a visible, generally accessible place at least seven days in advance, with the meeting no earlier than the eighth day. Record the date and time of posting. Check additional notification rules for absent persons who supplied a postal or email address. Urgency is not a shortcut used merely for convenience.

The agenda should expressly cover appointments, management, budget and proposed decisions. Distinguish the quorum required to hold the meeting from the majority needed for each resolution. Minutes should record attendance, representation, shares and voting; subsequent notification of the minutes is also part of the procedure.

Proper procedure starts before the meeting.

Document resolutions

The minutes must show what was actually adopted.

  • Check quorum, authority and majority.
  • Arrange notification and transfer of records.
04 / 04

Arrange handover to the manager

An appointment must translate into functioning management.

  • Hand over existing contracts, accounts and common-part documents against an inventory.
  • Specify arrangements for collecting charges and notifying later resolutions.
